Welcome to Zeero ("we," "our," "us"), a platform that connects consumers with participating grocery stores to purchase surplus food items at reduced prices. By accessing or using our mobile application and services (the "Service"), you ("User," "you," "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

22. Service Description

  • Our Service facilitates the purchase of surplus food items from participating grocery stores that would otherwise go to waste. Users can: Browse available surplus food items from participating retailers
  • Purchase items online through our platform
  • Collect purchased items in-store at designated times
  • Contribute to reducing food waste while accessing discounted products.

33. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Age Requirement

You must be at least 18 years old to use our Service. By using the Service, you represent that you meet this age requirement.

3.3 Account Responsibility

You are solely responsible for all activities that occur under your account and must notify us immediately of any unauthorized use.

44. Product Listings and Availability

4.1 Product Information

Product listings include descriptions, images, quantities, and pricing as provided by participating retailers. While we strive for accuracy, product information may vary and is subject to change without notice.

4.2 Availability

Product availability is real-time and subject to change. Items may sell out between the time of viewing and attempted purchase.

4.3 Pricing

All prices are clearly displayed in the applicable currency. Prices may include discounts reflecting the surplus nature of the items and their proximity to sell-by dates.

55. "SOLD AS SEEN" POLICY

5.1 Condition of Goods
  • ALL PRODUCTS ARE SOLD STRICTLY "AS SEEN" AND "AS IS." By purchasing through our Service, you acknowledge and agree that: Products may show signs of wear, minor damage, or imperfections
  • Packaging may be damaged, dented, or opened
  • Products may be approaching or at their sell-by, best-before, or use-by dates
  • No warranties or guarantees are provided regarding product condition, quality, or fitness for purpose
  • Visual representations may not exactly match the actual products received.
5.2 Inspection Responsibility

You acknowledge that you should inspect all items upon collection and that acceptance of items constitutes acceptance of their condition.

66. SELL-BY DATES AND CONSUMER DISCRETION

6.1 Date Information

Products available through our Service may be at or near their sell-by, best-before, or use-by dates. Date information is provided where available but may not be comprehensive.

6.2 Consumer Responsibility
  • CONSUMPTION OF ANY PRODUCTS PURCHASED THROUGH OUR SERVICE IS ENTIRELY AT YOUR OWN DISCRETION AND RISK. You acknowledge and agree that: You are solely responsible for determining the safety and suitability of any products for consumption
  • You understand the difference between sell-by, best-before, and use-by dates
  • You will use your own judgment regarding the safety of consuming products at or past their indicated dates
  • You will properly inspect products before consumption
  • You assume all risks associated with consuming products that may be at or past their indicated dates.
6.3 No Liability for Consumption

We, our partners, and participating retailers accept no responsibility or liability for any consequences arising from your consumption of products purchased through our Service.

77. Allergen Information and Dietary Requirements

7.1 Allergen Responsibility

CRITICAL ALLERGEN WARNING: You are solely responsible for checking all allergen information before purchasing and consuming any products through our Service.

7.2 Allergen Information Limitations
  • While we and our participating retailers strive to provide accurate allergen information, you acknowledge and agree that: Allergen information may be incomplete, inaccurate, or out of date
  • Product packaging and labeling may have changed since information was uploaded
  • Cross-contamination may have occurred during manufacturing, storage, or handling
  • Surplus food items may have damaged or unclear labeling
  • Information displayed on our platform may not reflect the most current product formulations.
7.3 Consumer Due Diligence
  • YOU MUST ALWAYS: Carefully read all product labels and packaging upon collection
  • Check ingredient lists for known allergens and dietary restrictions
  • Verify allergen information directly from product packaging
  • Contact manufacturers directly if you have specific allergen concerns
  • Exercise extreme caution if you have severe allergies or dietary restrictions.
7.4 High-Risk Allergen Advisory
  • If you have severe or life-threatening allergies (including but not limited to nuts, shellfish, dairy, eggs, soy, wheat, or other allergens), we strongly recommend: Consulting product packaging directly before consumption
  • Contacting product manufacturers when in doubt
  • Considering whether surplus food purchases are appropriate for your health needs
  • Having appropriate emergency medications available.
7.5 No Liability for Allergen-Related Issues
  • ZEERO, PARTICIPATING RETAILERS, AND THEIR RESPECTIVE EMPLOYEES ACCEPT NO LIABILITY FOR: Allergic reactions or adverse health effects from product consumption
  • Inaccurate, incomplete, or missing allergen information
  • Cross-contamination of products
  • Failure to identify allergens in purchased products
  • Any health consequences arising from dietary restrictions or food sensitivities.
7.6 Special Dietary Requirements
  • This allergen policy also applies to other dietary requirements including but not limited to: Vegetarian and vegan diets
  • Religious dietary restrictions (halal, kosher, etc.)
  • Medical dietary requirements
  • Gluten-free and other specialized diets. You are solely responsible for verifying that products meet your specific dietary needs.

88. Purchase Process and Payment

8.1 Order Placement

Orders are placed through our mobile application with payment processed at the time of purchase.

8.2 Payment Methods

We accept various payment methods as displayed in the app. All transactions are processed securely through our payment partners.

8.3 Order Confirmation

You will receive confirmation of your order via email or in-app notification, including collection details.

99. Collection and Delivery

9.1 In-Store Collection

Products must be collected from the designated participating store within the specified time window. Collection instructions will be provided with your order confirmation.

9.2 Identification

You may be required to provide identification and order confirmation upon collection.

9.3 Failed Collection

Items not collected within the specified timeframe may be forfeited without refund, at the discretion of the participating retailer.

1010. Refunds and Returns

10.1 No Returns Policy

Given the nature of surplus food items and our "sold as seen" policy, ALL SALES ARE FINAL. We do not accept returns or provide refunds except in the following limited circumstances.

10.2 Exceptional Circumstances
  • Refunds may be considered only in cases of: Technical errors resulting in double charging
  • Items being unavailable for collection due to store error
  • Significant discrepancies between ordered and available items (at our sole discretion).
10.3 Refund Process

Any approved refunds will be processed to the original payment method within 5-10 business days.

1111. Prohibited Items and Age-Restricted Products

11.1 Prohibited Items
  • The following items are strictly prohibited from sale through our Service: Illegal substances or controlled drugs
  • Prescription medications or pharmaceuticals
  • Products subject to product recalls or safety warnings
  • Items that require special licenses or permits to sell
  • Baby formula or infant food products past their expiry dates
  • Any items deemed unsafe for consumption by relevant authorities
  • Products that violate applicable laws or regulations.
11.2 Age-Restricted Products
  • Certain products available through our Service may be subject to age restrictions, including but not limited to: Alcoholic beverages
  • Tobacco products and related accessories
  • Electronic cigarettes, vaping products, and e-liquids
  • Energy drinks (where age restrictions apply)
  • Other products restricted by local law.
11.3 Age Verification and Legal Compliance
  • IMPORTANT: For all age-restricted products: Store Responsibility: Participating retailers are solely responsible for verifying that the collection and handover of age-restricted items complies with all applicable local laws, regulations, and licensing requirements
  • Age Verification: Stores must verify the age and identity of consumers collecting age-restricted items in accordance with local legal requirements
  • Legal Compliance: Retailers must ensure that the sale and handover of tobacco, vaping products, alcohol, and other restricted items is in full compliance with their local jurisdiction's laws and regulations
  • Discretionary Handover: Stores have the absolute right to refuse handover of any age-restricted items if they believe the transaction would not comply with local law or if proper age verification cannot be completed
  • No Platform Liability: We accept no responsibility for retailers' compliance or non-compliance with age restriction laws.
11.4 Consumer Responsibilities for Restricted Items
  • By purchasing age-restricted items, you represent and warrant that: You meet the minimum legal age requirements in your jurisdiction
  • You will provide valid identification when collecting such items
  • You understand that stores may refuse to hand over items if legal requirements are not met
  • You will comply with all applicable laws regarding the possession and use of such products.
11.5 Enforcement
  • We reserve the right to: Remove any prohibited items from our platform immediately
  • Suspend or terminate accounts of users who attempt to purchase prohibited items
  • Cooperate with law enforcement regarding any illegal activities
  • Update this list of prohibited items at any time without prior notice.

1212. User Conduct and Responsibilities

12.1 Acceptable Use
  • You agree to use our Service only for lawful purposes and in accordance with these Terms. You will not: Violate any applicable laws or regulations
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to our systems
  • Use the Service for commercial resale purposes
  • Harass or abuse other users or store staff.
12.2 Store Interactions
  • When collecting items, you agree to: Follow all store policies and procedures
  • Treat store staff with respect and courtesy
  • Collect items only during designated hours
  • Not disrupt normal store operations.

1313. Limitation of Liability

13.1 Service Disclaimer

OUR SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

13.2 Liability Limitations
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR: Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Personal injury or illness resulting from product consumption
  • Any damages arising from product defects, contamination, or spoilage
  • Store-related issues or interactions
  • Retailers' compliance or non-compliance with age restriction laws or regulations
  • Any issues arising from the sale or handover of age-restricted products.
13.3 Maximum Liability

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid for the specific transaction giving rise to the claim.

1414. Indemnification

  • You agree to indemnify, defend, and hold harmless Zeero, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: Your use of the Service
  • Your consumption of any products purchased through the Service
  • Your violation of these Terms
  • Your interactions with participating retailers.

1515. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

1616. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitute acceptance of the modified Terms.

1717. Termination

17.1 Termination by You

You may terminate your account at any time by contacting customer support or using the account deletion feature in the app.

17.2 Termination by Us

We may terminate or suspend your account immediately if you violate these Terms or for any other reason at our sole discretion.

17.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately, but these Terms remain in effect regarding prior use.

1818. Dispute Resolution

18.1 Governing Law
